RAYMOND JAMES ANNOUNCES CLOSING
OF PUBLIC OFFERING OF SENIOR NOTES,
EXPECTED USE OF PROCEEDS

ST. PETERSBURG, Fla. – Raymond James Financial, Inc. (NYSE-RJF) today announced the closing of a registered underwritten public offering of $300,000,000 in aggregate principal amount of its 8.60% senior notes due 2019. This follows the August 13 announcement of the offering’s pricing.

Net proceeds after underwriting discounts and estimated expenses were approximately $297,199,000, and are expected to fund capital contributions of $50,000,000 to Raymond James Bank, FSB and $100,000,000 for future growth of Raymond James’ domestic broker/dealer subsidiaries, with the balance being employed as working capital.

J.P. Morgan Securities Inc. and Citigroup Global Markets Inc. acted as joint bookrunners for the offering; Keefe, Bruyette & Woods, Inc. and Raymond James & Associates, Inc. acted as co-managers. The public offering was made by means of a prospectus.
